By engaging with BracketzLab's services, you agree to these terms and conditions.

• These Terms of Service govern your access to and use of BracketzLab's software development, consulting, and digital transformation services.
• By submitting a project inquiry, signing a Statement of Work (SOW), or using our digital platforms, you acknowledge that you have read, understood, and agree to be bound by these terms.
• If you are entering on behalf of a company or legal entity, you represent that you have the authority to bind such entity.
• We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.

We provide custom software solutions tailored to your business requirements.

• BracketzLab offers end-to-end software development including web applications, mobile apps, cloud infrastructure, AI/ML solutions, and enterprise integrations.
• All project scope, timelines, deliverables, and pricing are defined in a mutually agreed SOW or MSA.
• We commit to delivering high-quality work using industry best practices and agile methodologies.
• Changes to scope require written approval and may result in adjusted timelines and fees.

Successful delivery requires active collaboration and timely input from clients.

• Clients must provide accurate requirements, business objectives, brand assets, and access to necessary systems.
• Timely feedback, approvals, and decision-making are essential to maintain project schedules.
• Clients are responsible for ensuring they have the legal right to use any content or data provided to BracketzLab.
• Failure to meet client obligations may result in project delays, additional costs, or suspension of services.

Clear and fair payment structures ensure smooth project execution.

• Payment schedules, milestones, and amounts are specified in the SOW (e.g. upfront deposits, milestone-based payments, or retainers).
• Invoices are due within the timeframe specified, typically 15-30 days from the invoice date.
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• BracketzLab reserves the right to suspend services or withhold deliverables until outstanding payments are received.

We respect IP rights and clearly define ownership of work products.

• Upon full payment, clients receive ownership of custom code, designs, and deliverables created for their project, unless otherwise specified in the SOW.
• BracketzLab retains ownership of pre-existing IP, proprietary frameworks, tools, and methodologies.
• Clients grant BracketzLab the right to use project work in portfolios and case studies unless an NDA specifies otherwise.
• Third-party software and APIs are subject to their respective licenses.

We safeguard sensitive information with enterprise-grade security measures.

• BracketzLab treats all client information and proprietary materials as confidential and implements appropriate safeguards.
• We comply with applicable data protection regulations including GDPR, CCPA, PIPEDA, and relevant regional laws.
• Confidential information may only be disclosed to personnel who need access and are bound by confidentiality obligations.
• Confidentiality obligations survive termination for a minimum of three years unless otherwise specified.

We stand behind our work while setting realistic expectations.

• BracketzLab warrants that services will be performed in a professional manner consistent with industry standards.
• We provide a warranty period (typically 30-90 days post-launch) for bug fixes and defects as specified in the SOW.
• Except as expressly stated, services are provided 'as is' without other warranties.
• We do not warrant that software will be error-free or meet all expectations beyond agreed specifications.

Liability limitations protect both parties while ensuring fair accountability.

• BracketzLab's total liability shall not exceed the total fees paid by the client in the 12 months preceding the claim.
• We are not liable for indirect, incidental, consequential, special, or punitive damages.
• Clients are responsible for maintaining backups. BracketzLab is not liable for data loss unless caused by our gross negligence.
• These limitations apply to the fullest extent permitted by applicable law.

Either party may terminate the agreement under specified conditions.

• Either party may terminate with 30 days' written notice if the other party materially breaches and fails to cure.
• Clients may terminate for convenience with written notice but remain obligated to pay for work completed.
• BracketzLab may terminate immediately if the client fails to pay, provides false information, or engages in unlawful conduct.
• Upon termination, completed work products are delivered upon receipt of final payment; both parties return or destroy confidential information.

Legal framework and dispute resolution ensure fair treatment across jurisdictions.

• Terms are governed by the laws of the jurisdiction specified in the SOW (e.g. Florida for US, England and Wales for UK, Ontario for Canada).
• Parties agree to attempt resolution through good-faith negotiation, then binding arbitration or mediation before litigation.
